Judith T. Kaiser has worked in the Delaware corporate and alternative entity transactional area for over twenty years.  She interacts with clients on a constant basis throughout the deal closing process in conjunction with organizational documents, legal opinion letters and due diligence.  As part of that process, Judy drafts, reviews and revises deal documents involving Delaware corporations and alternative entities.  She coordinates the completion of the closing process from its inception.  Judy has processed countless documents and filings with the Delaware Secretary of State, Division of Corporations, including many times when time is of the essence and the hour is late.

Additionally, she helps prepare formation documents for corporations and alternative entities including by-laws, resolutions, consents, Operating Agreements as well as many other documents.  She coordinates filings with the Delaware Secretary of State, obtains certified documents, Uniform Commercial Code filings and searches.  She also assists in calculating the Delaware franchise tax, filing fee tax and filing fees. Judy attends quarterly and annual Delaware Secretary of State meetings and conferences and liaisons with the Division of Corporations for The Danneman Firm.  To this end, Judy helps review all Delaware legislative amendments to Delaware’s corporate laws or alternative entity laws, as well as Chancery and Supreme Court decisions impacting Delaware corporations and alternative entities.
